Managing Counsel - Data Center & Infrastructure, SF Bay Area (remote considered) (1001-SLS)

Our client is a rapidly growing AI infrastructure company whose computing systems and cloud services support demanding AI workloads. Following a successful recent initial public offering, it is expanding its global data center footprint to meet growing demand for compute.

The company seeks a Managing Counsel - Data Center & Infrastructure to lead major data center acquisitions and development transactions. Working with the Global Data Centers team, this attorney will structure and negotiate complex deals, including financing components, and manage long-term infrastructure relationships.

This visible, hands-on role offers ownership of transactions central to the company’s growth and the opportunity to take on broader strategic responsibility as the business expands.

Responsibilities: Lead the end-to-end legal strategy for data center acquisitions and other digital infrastructure transactions, including diligence, deal structuring, financing components, negotiation and closing.

Negotiate single-tenant, powered-shell and build-to-suit leases; colocation, capacity reservation, development and connectivity agreements.

Manage long-term legal relationships with data center operators and lessors, financing sources and customers purchasing capacity.

Advise on post-acquisition matters, including construction, design, long-lead equipment, supply chain, regulatory issues and disputes.

Advise on corporate structure, governance and risk in connection with infrastructure transactions.

Qualifications: At least 10 years of direct legal experience with or at data center providers, neo-clouds or hyperscalers on real estate and physical infrastructure transactions.

Experience negotiating complex leases or colocation agreements. Familiarity with single-tenant facilities and behind-the-meter power arrangements is particularly valuable.

Track record of leading sophisticated transactions across business and technical teams, managing interdependencies and moving deals forward with urgency.

Ability to negotiate technical terms involving compute infrastructure, hardware specifications, data center operations, equipment, power and utilities requirements.

Experience with transaction diligence, regulatory issues and dispute resolution, and the agility to learn adjacent practice areas.

Practical judgment and a hands-on approach as priorities evolve.

J.D. and active bar admission required. A mix of leading law firm and in-house experience is preferred.

The base salary range for the Managing Counsel position is $216,000 to $264,000 annually, plus bonus and substantial equity grant. Actual compensation will be determined based on experience, skills and qualifications. A Director title and corresponding compensation may be considered for candidates with more extensive experience. SF Bay Area candidates are preferred; remote candidates will be considered.
